Cell Kinetics signs distribution agreement with Rikaken Co., Ltd. Japan
April 2, 2008 - New York, N.Y. -- Cell Kinetics Ltd. (OTCBB: CKNTF), announced today that it has signed with Rikaken Co., Ltd. an exclusive distribution agreement for the marketing and distribution of Cell Kinetics’ “CKChip™” in Japan.
“This is a significant moment for Cell Kinetics. This distribution agreement with Rikaken reflects the first step in our commercialization plans to enter into strategic distribution agreements for our CKChip with first class partners in key markets such as Japan, Europe and of course the US. We are proud that a leading Japanese distributor of medical laboratory equipment has decided to market our innovative product to the Japanese market,” said Dr. Asaf Ben-Arye, Cell Kinetics’ President and CEO.

Cell Kinetics an indirect majority-owned subsidiary of Medis Technologies Ltd. (NASDAQ: MDTL) is developing and will market a series of products, based on its Cell Carrier technology, under the “CKChip™” trade name. The CKChip can accommodate up to 10,000 cells on individual wells for measuring reactions of living cells in a static state over time, using simple imaging methods such as fluorescence microscopy. Cell Kinetics has also invested in an early stage Israeli-based medical device company and intends to continue to source, vet and invest in early stage Israeli-based medical device technologies.
Rikaken Co. is distributor of lab equipment and chemicals operating in the field for over 30 years. February 11, 2008 - New York, N.Y. -- Cell Kinetics Ltd., an indirect majority-owned subsidiary of Medis Technologies Ltd. (NASDAQ: MDTL), announced today that after the successful completion of its Rights Offering, it has received the ticker symbol of CKNTF for the quotation of its ordinary shares in the over-the-counter market on the OTC Bulletin Board maintained by the FINRA.
The Rights Offering subscribers purchased an aggregate of 3,492,788 Cell Kinetics ordinary shares, at the subscription price of $0.30 per share, and subscribers also received four year warrants to purchase additional Cell Kinetics ordinary shares, at an exercise price of $0.60 per share, at the rate of one such warrant for every two ordinary shares purchased in the Rights Offering.

Cell Kinetics Completes Over-Subscribed Rights Offering

JANUARY 14, 2008 - New York, N.Y. -- Cell Kinetics Ltd., an indirect majority-owned subsidiary of Medis Technologies Ltd. (NASDAQ: MDTL), announced today that the Cell Kinetics’ rights offering (the “Rights Offering”) that expired on January 7, 2008 was over-subscribed and those subscribers who purchased all  ordinary shares underlying their basic subscription rights and chose to exercise their over-subscription rights will receive additional shares of Cell Kinetics based on the formula set forth in November 5, 2007 Rights Offering prospectus.

 

Upon completion of administrative procedures, Cell Kinetics will distribute to Rights Offering subscribers an aggregate of 3,492,788 Cell Kinetics ordinary shares, at the subscription price of $0.30 per share. Rights Offering subscribers will also receive four year warrants to purchase additional Cell Kinetics ordinary shares, at an exercise price of $0.60 per share, at the rate of one such warrant for every two ordinary shares purchased in the Rights Offering.

Cell Kinetics Extends Expiration Date of Rights Offering to January 7, 2008
 


December 14, 2007 - New York, N.Y. -- Cell Kinetics Ltd., an indirect, wholly-owned subsidiary of Medis Technologies Ltd. (NASDAQ: MDTL), announced today the extension of the expiration date of Cell Kinetics’ rights offering (the “Rights Offering”) to January 7, 2008 to allow for the completion of certain state securities or
“blue sky law” qualifications of the Rights Offering.

Cell Kinetics has distributed to record holders of Medis’ outstanding common stock, at no cost, nontransferable subscription rights to purchase up to an aggregate of 3,505,337 of Cell Kinetics’ ordinary shares, at a subscription price of $0.30 per share. Record holders of Medis’ common stock received one subscription right for every ten shares of Medis’ common stock held by them as of the close of business on the record date, which was November 12, 2007. Medis record holders who purchase Cell Kinetics’ ordinary shares in the Rights Offering will also receive four year warrants to purchase additional Cell Kinetics ordinary shares, at an exercise price of $0.60 per share, at the rate of one such warrant for every two ordinary shares purchased in the Rights Offering. The Rights Offering was originally scheduled to expire at 5:00 p.m., New York City time, on December 17, 2007.

The new expiration date for the Rights Offering is 5:00 p.m., New York City time, on January 7, 2008, unless
extended.
